ASC Organizational Meeting



The purpose of our meeting on Dec. 18 is to elect officers, form a board and adopt by-laws.

Officers:

We are looking for nominations for a president, vice president, treasurer, secretary and registrar.

Please send your nominations to Candy Reagan by email at dancanreagan@sbcglobal.net or by text to 325-660-0292 or call her at 690-6168. Please indicate why you think the person would be a good officer. We will vote on this at the meeting, with each ASC family in attendance having one vote.

 

Board:

The present plan is for the board to be made up of the five officers, plus one board member from each ASC team. Anyone who has a better suggestion or plan, please let me know or come to the meeting and present it. This is still up for discussion until voted on at the meeting.

 

By-Laws:

We will adopt by-laws at the meeting. You can read through the entire list of proposed by-laws below. Some points of interest that could be up for discussion include:

  1. What are the requirements to be an ASC team? Should teams be required to use the ASC Logo? The colors? How much control should ASC have over who is selected to coach? Etc.

Proposed By-Laws


Abilene Soccer Club is in the process of re-organizing.  The by-laws below are proposed and will be voted on at a meeting Dec. 18.  Every family involved in ASC will first have the opportunity to see the by-laws and provide input before they are adopted.  ASC families also will be electing a board at that time. ABILENE SOCCER CLUB
Bylaws  

Article I
The name of this organization shall be the Abilene Soccer Club, (hereinafter referred to as ASC.)

Article II
The object of ASC shall be to promote soccer as a sport, to organize soccer teams, to provide training in the sport of soccer, to provide an avenue for youth who want to play soccer at a high level and to help bridge the gap between recreational soccer and high school soccer. ASC shall be affiliated with the Big Country Soccer Association, North Texas Soccer Association (NTSA), United States Youth Soccer Association (USYSA), and the Federation Internationalle de Football Association (FIFA).
Abilene Soccer Club is a nonprofit organization.

Article III
Section 1
Members are teams formed by ASC or teams formed by parents who want to be affiliated with ASC and are willing to meet the requirements to be affiliated with ASC.
Section 2
Teams must meet the following criteria to be an ASC member:
1.    Use the ASC name and colors.  (Teams who join and already have uniforms may retain those colors and name until new uniforms are purchased.)
2.    Have an ASC approved coach.  (Coaches must meet the approval of the ASC Director of Coaching.)
3.    Maintain high levels of sportsmanship and good conduct.
4.    Provide financial statements twice per year to the current Treasurer.
Section 3 
Membership may be terminated by a two-thirds vote of the eligible votes at a membership meeting.

Article IV
Section 1
The Board of Directors (hereinafter referred to as Officers) shall be composed of four elected officers and one representative from each member team.
Section 2
The Officers of ASC shall be elected each year in the summer after tryouts.  All Officers shall be elected by the membership at the Annual Meeting by a majority vote of the members in attendance. All Officers shall serve for a term of one year. No person shall hold more than one office.
Section 4
The duties of the Officers shall be as follows:
  A.  The President shall preside at all meetings and shall be General Manager of ASC.
B. The Vice President shall act in the absence of the President with the same authority and shall assist the President.
C.The Secretary shall assist with communications and shall keep the official records of ASC, including minutes of all meetings.
D.  The Treasurer shall receive, disburse, and account for all funds of ASC, which shall be kept in a bank designated by the Officers, shall receive reports from each individual team and shall help with IRS information.
E.  The Registrar shall be Chairman of the Registration Committee, shall be responsible for registration of players and coaches, shall be responsible for formation of teams and assignment of team colors.
Section 5
Any Officer failing to attend meetings in such a manner as to consistently cause a quorum to not be established shall have his continued tenure subjected to a vote of the membership in no less than ten nor more than thirty days from the last meeting of Officers where a quorum was not established. Any Office may be removed from office by a two-thirds vote of the membership present at a membership meeting.

Article V
Section 1
Meeting of the membership shall be held at the call of the Officers provided that at least one meeting be held twice per year.
Section 2
The annual meeting shall be in July or August of each year after tryouts and shall be for the election of officers and presentation of the budget.
Section 3
A quorum of Officers is required at all meetings to conduct business. A quorum is defined as three or more Officers present.

Article VI
Committees may be appointed as needed by the President with advice and consent of  the Board of Directors for an active life to be specified in the appointment.

Article VII
ASC shall have a director of coaching, who will be voted on by the board of directors each year. The director of coaching will not have voting rights and will not be required to attend board meetings but will be allowed to attend if he or she so chooses. The director of coaching’s responsibilities are:
1.    Help provide coaches who will give students the best possible soccer instruction and meet ASC’s high character standards.
2.    Monitor teams to make certain that good instruction is an ongoing process.
3.    Make final decisions on team coaches.
4.    Help resolve any issues or complaints with coaches.

Article VIII
Section 1
Each Officer shall have one vote with the President voting only to break a tie.
Section 2
Membership voting:  each household shall have one vote.

Article VIX
The fiscal year of ASC shall be from July 1 to June 30 of the following year.

Article X
These bylaws may be amended by a two-thirds vote of the members provided that the amendment has been presented in writing at the previous meeting.

Article XI
The rules contained in the current edition of Roberts Rules of Order shall govern ASC in all cases in which they are applicable and do not conflict with these bylaws.
